Az ENEFI Vagyonkezelő Nyrt. („Társaság”) korábban tájékoztatta Tisztelt Befektetőit, hogy a Társaság részvény adásvételi szerződést írt alá a tulajdonában álló, Random Capital Zrt. által kibocsátott 54 darab dematerializált törzsrészvény eladása tárgyában, mely a Random Capital Zrt. törzstőkéjének 9,46%-át képezi. (A szóban forgó részesedést a Társaság 2019-es ügylet alapján 2020-ban szerezte meg 124.457.143,- Ft vételár ellenében.) A Társaság tájékoztatta továbbá tisztelt Befektetőit, hogy a tranzakció sikeresen lezárásra került. A zárás következtében (i) a részvények tulajdonjoga átszállt a vevőre, (ii) a vevő megfizetett a Társaság részére 139.019.264,- Ft-ot, mely az alap vételár biztosítékként visszatartott összeggel csökkentett része, (iii) a vevő vállalta, hogy 14 munkanapon belül az alap vételáron felül elszámol a Random Capital Zrt. zárás napján fennálló, szerződés szerint kalkulált készpénzállományának Társaság részvényeire eső részével, (iv) a vevő továbbá az alap vételáron felül vevői biztosítékként visszatartotta az alapvételár 30%-nak megfelelő összeget, mely összeggel a felek szerződés szerint, később számolnak el egymással.
A Társaság tájékoztatja tisztelt Befektetőit, hogy a vevő mai napon megfizetett a Társaság részére a szerződés alapján további 80.021.122,- Ft-ot az alap vételáron felül (iii pont).

ENEFI Asset Management Plc. (the “Company”) previously informed its dear Investors that the Company have signed a sale and purchase agreement for shares for 54 pieces of dematerialised ordinary shares issued by Random Capital Zrt constituting 9.46% of Random Capital Zrt. (The business share in question had been acquired by the Company in 2020 based on a transaction in 2019 for the purchase price of HUF 124,457,143.) The Company previously informed its Honourable Investors that the transaction has been successfully closed. As a result of the closure (i) the ownership of the shares is transferred to the purchaser, (ii) the purchaser paid the Company HUF 139,019,264 which shall be the part of the basic purchase price decreased by the withheld amount, (iii) the purchaser undertook that in addition to the basic purchase price, it shall settle the part of the cash of Random Capital Zrt. existing on the closing day calculated according to the agreement relevant to the shares of the Company within 14 workdays, (iv) furthermore the purchaser withheld 30% of the basic purchase price as purchaser’s collateral in addition to the basic purchase price which amount shall be settled by the parties later, according to the agreement.
The Company hereby inform its dear Investors that the purchaser paid the Company HUF 80,021,122 today according to the purchase agreement, in addition to the basic purchase price (point iii).
